1. AGREEMENT TO TERMS

These Terms and Conditions ("Terms") are a legally binding agreement between you ("User", "you") and LyricLab ("we", "us", "our") governing your access to and use of lyriclab.com and app.lyriclab.com (collectively, the "Platform"). By registering for an account, subscribing to a plan, or otherwise using the Platform, you confirm you have read, understood, and agree to these Terms and our Privacy Policy.

2. WHO WE ARE

LyricLab is an AI-powered lyric writing assistance platform designed for songwriters and rappers. We are operated from England, United Kingdom.

3. ELIGIBILITY

You must be at least 13 years of age to use LyricLab. If you are under 18, you must have consent from a parent or legal guardian. By using the Platform, you confirm you meet these requirements. We do not knowingly collect data from children under 13. If you believe a child under 13 has registered, please contact us immediately.

4. ACCOUNTS & REGISTRATION

To access the web application, you must register using your name, email address, and a password. You agree to:

• • Provide accurate and complete registration information
• • Keep your password secure and not share it with others
• • Notify us immediately of any unauthorised access to your account
• • Accept responsibility for all activity that occurs under your account
• • Not create multiple accounts to circumvent subscription restrictions

LyricLab reserves the right to suspend or terminate accounts that violate these Terms.

5. SUBSCRIPTIONS & PAYMENTS

LyricLab offers subscription-based access to premium features. All payments are processed securely through Stripe, a third-party payment processor.

Pricing displayed on the subscription page is determined automatically based on your location, detected via IP address lookup (ipwhois). Prices are shown in:

• • GBP (£) for users located in England and the United Kingdom
• • EUR (€) for users located in other European countries
• • USD ($) for users located in the United States
• • USD ($) for all other regions worldwide

The price you are shown reflects the currency applicable to your detected region. Prices may vary between regions.

Additional subscription terms:

• • Subscription fees are billed in advance on a recurring basis (monthly or annually, as selected)
• • Your subscription will automatically renew at the end of each billing period unless cancelled
• • You may cancel at any time through your account settings; cancellation takes effect at the end of the current billing period
• • We do not offer refunds for partial subscription periods unless required by applicable law
• • We reserve the right to change pricing with at least 30 days' notice to existing subscribers

6. AI-POWERED FEATURES

LyricLab provides the following AI tools, powered by the OpenAI API:

• • Rhyme Assistant: Analyses your written lyrics and offers improvement suggestions
• • Artist Info: Provides publicly available information on artists you search for
• • Rhyme Dictionary: Returns rhyming word suggestions for a given word
• • Prompt Suggestions: Generates lyric line suggestions based on your input text and bars
• • Synonyms: Returns synonym suggestions for a given word
• • Antonyms: Returns antonym suggestions for a given word

You acknowledge and agree that:

• • AI-generated suggestions are for creative assistance only and do not constitute professional advice
• • LyricLab does not guarantee the accuracy, originality, or copyright clearance of AI-generated content
• • You are solely responsible for reviewing AI suggestions before using them in any work
• • Your text inputs to AI tools are processed by OpenAI in accordance with their usage policies
• • AI outputs may occasionally be inaccurate, incomplete, or unsuitable

7. USER CONTENT & LYRICS

You retain full ownership of any lyrics, text, or creative content you create or upload to LyricLab ("User Content"). By using the Platform, you grant LyricLab a limited, non-exclusive, royalty-free licence to process and store your User Content solely to provide the service to you.

You represent and warrant that:

• • You own or have the right to use any content you submit
• • Your content does not infringe any third-party intellectual property rights
• • Your content does not contain illegal, defamatory, hateful, or harmful material

We reserve the right to remove content that violates these Terms.

8. ACCEPTABLE USE

You agree not to use LyricLab to:

• • Violate any applicable local, national, or international law or regulation
• • Generate or distribute content that is harmful, abusive, racist, hateful, or discriminatory
• • Attempt to reverse engineer or extract the source code of the Platform
• • Use automated scripts, bots, or scrapers to access the Platform
• • Attempt to gain unauthorised access to any part of the Platform or its servers
• • Resell or sublicense our AI tools without prior written consent
• • Submit false or misleading feedback or information

Breach of acceptable use may result in immediate suspension or termination of your account without refund.

9. INTELLECTUAL PROPERTY

All rights in the LyricLab Platform — including software, branding, logo, design, and technology — are owned by or licensed to LyricLab and are protected by intellectual property laws. You may not copy, reproduce, distribute, or create derivative works of any LyricLab content without our express written permission. The "LyricLab" name and logo are proprietary marks.

10. THIRD-PARTY SERVICES

LyricLab integrates with the following third-party services:

• • Stripe: Payment processing. Your payment data is handled directly by Stripe and is governed by their Privacy Policy at stripe.com/en-gb/privacy
• • OpenAI: Powers our AI tools. Text inputs submitted to AI features may be processed by OpenAI in accordance with their Privacy Policy at openai.com/policies/privacy-policy
• • ipwhois: Used to detect your approximate location via IP address for the purpose of displaying the correct subscription currency. No personal data is stored from this lookup.

LyricLab is not responsible for the practices or content of third-party services.

11. DISCLAIMERS

The Platform is provided on an "as is" and "as available" basis without warranties of any kind, to the fullest extent permitted by law.

We do not warrant that:

• • The Platform will be uninterrupted, error-free, or secure at all times
• • AI-generated content will be accurate, original, or free from copyright issues
• • Artist information provided by the AI will always be current or correct
• • The Platform will meet your specific creative requirements

Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be limited by law.

12. LIMITATION OF LIABILITY

To the fullest extent permitted by English law, LyricLab's total liability to you shall not exceed the amount you paid to us in the 12 months preceding the claim.

LyricLab shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, or loss of creative work.

If you are a consumer in the UK, these limitations do not affect your statutory rights under the Consumer Rights Act 2015.

13. TERMINATION

You may terminate your account at any time by contacting us or through your account settings.

LyricLab may suspend or terminate your access at any time if you breach these Terms, if required by law, or if we reasonably believe your use poses a risk to other users or the Platform.

Upon termination, your right to use the Platform ceases immediately.

14. GOVERNING LAW

These Terms and any disputes arising from them shall be governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

15. CHANGES TO TERMS

We reserve the right to update these Terms at any time. Where changes are material, we will notify you by email and via a notice in the Platform. Continued use after the effective date constitutes acceptance of the revised Terms.
